3. Services & AI Functionality

Corvera provides AI-enabled software for supply chain automation, forecasting, analytics, and operational insights.

You acknowledge that:

• AI outputs are probabilistic and advisory
• Corvera does not guarantee accuracy or outcomes
• You remain responsible for decisions made using the Services

No automated decision-making with legal or similarly significant effects is performed without meaningful human involvement.

4. Customer Data

You retain ownership of all data submitted to the Services ("Customer Data").

You grant Corvera a limited, non-exclusive right to process Customer Data solely to:

• Provide and operate the Services
• Maintain security and reliability
• Improve functionality using aggregated or anonymized data
• Comply with legal obligations

5. Payments & Subscriptions

Certain Services require payment. By subscribing:

• You agree to pay applicable fees
• Fees are non-refundable unless otherwise stated
• Payments may be processed by third-party providers
• Non-payment may result in suspension or termination

6. Intellectual Property

All intellectual property related to the Services is owned by Corvera or its licensors.

You may not copy, distribute, modify, or create derivative works without prior written consent.

7. Confidentiality

Each party agrees to protect the other's confidential, non-public information disclosed in connection with the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVERA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CORVERA SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES
• CORVERA'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

10. Termination

We may suspend or terminate access if you violate these Terms or pose a security or legal risk.

Upon termination, your right to use the Services immediately ceases.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

12. Changes

We may update these Terms periodically. Continued use of the Services constitutes acceptance of the updated Terms.
